1. Definitions and Interpretation

Unless otherwise specified in the Terms and Conditions, the following definitions apply:
(a) “NK13” means PT. NYAWA KEHIDUPAN TIGABELAS as the Goods Provider;
(b) “We” means NK13, and/or PT. NYAWA KEHIDUPAN TIGABELAS as the Goods Provider;
(c) “You” means (i) Customer, (ii) Buyer, and (iii) guest browsing the pages of Naskleeng-13.com, other than NK13 as the Goods Provider;
(d) “Customer” means any person who places an Order on the Platform;
(e) “Buyer” means any person who has conducted a transaction to exchange money for products from NK13;
(f) “Account” means the account you obtain after registering through the Site to conduct transactions on Naskleeng-13.com;
(g) “Order Confirmation” means our email to you confirming your Order as per Article 5.2 below;
(h) “Contract” means the Order of one or more Products in accordance with the Terms and Conditions that we accept as per Article 5.2 below;
(i) “Completed Transaction” is a condition where the Buyer has confirmed the receipt of the Product so that the transaction status is declared complete by the Platform, or a condition where the Buyer has not confirmed the receipt, the status of the receipt of the Product will automatically change within 2×24 hours since the Product status is “delivered”;
(j) “Calendar Day” means any day from Monday to Sunday in the Gregorian calendar, without considering national holidays set by the Government of the Republic of Indonesia;
(k) “Business Day” means (i) days other than Saturday, Sunday, (ii) national holidays set by the central government, and/or (iii) regional holidays determined by the Bali regional government;
(l) “Working Hours” means NK13’s operating hours from 09.00 WITA – 17.00 WITA or 9 (nine) hours per business day and on national or regional holidays as agreed upon by the Parties;
(m) “Site” is the official webstore site managed by NK13 and located at https://www.naskleeng-13.com/;
(n) “App” is the Marketplace application owned and managed by Tokopedia and Shopee where NK13 creates an official seller account;
(o) “Order” means the order you place on the Platform to purchase Products from Us;
(p) “Platform” means the App and Site through which NK13 channels its goods and/or other sites or applications that we may own and manage from time to time, each referred to as “Platform”;
(q) References to “article” are to the articles in these Terms and Conditions;
(r) Headings are for reference only and do not affect the interpretation or construction of the Terms and Conditions;
(s) Words in the singular include the plural and vice versa. Words in any gender include any gender and references to persons include individuals, companies, corporations, firms, or partnerships;
(t) References to “including” or “includes” or similar words or expressions, mean without limitation

2. Terms of Access to the Site

To place an Order on Naskleeng-13.com, you represent and warrant that:
(a) You must be over 18 (eighteen) years old. If you are under 18 (eighteen), you may place an Order on
Naskleeng-13.com with the supervision and assistance of your parent or guardian;
(b) You agree to these Terms and Conditions;
(c) The use of the Site and Services is not intended to violate any applicable laws and regulations;
(d) NK13 makes its best efforts to ensure that the Site can be accessed and used by you without interruption of any kind, but NK13 does not guarantee that the Site will always be available and accessible from time to time;
(e) Services through the Site may be suspended or temporarily halted for inspections, maintenance, repairs, changes, and additions to the system on the Site. If there is a disruption to the Site and/or the payment system provided on the Site caused by any reason including but not limited to virus attacks, internet network disruptions, NK13 will notify such disruptions through the Site;
(f) NK13 reserves the right to reject or cancel someone’s registration on this Site, remove someone from the Site, and prohibit someone from using this Site for any reason, and restrict or terminate your access to the Site at any time without notice;
(g) NK13 is not responsible to you and/or any party for any consequences arising from the use of the Site or the inability to use the Site, whether partially or entirely, caused by, including but not limited to, virus attacks, malware or other disruptions beyond the control of NK13 and that may affect the operation of the Site;
(h) NK13 reserves the right to suspend or terminate an Account for a temporary or indefinite period, with prior notification as soon as possible, if NK13 has suspicions that the Account has been tampered with, breached, or used by another party without the lawful right holder’s consent.

3. License and Site Access

3.1 All content contained on the Site is the exclusive property of NK13 or its licensors, protected by intellectual property rights contained therein, and as applicable, protected by Indonesian and other foreign laws. NK13 grants you a limited right to access and use this site.
3.2 You bear your own risk in using this Site. This Site is provided on an “as is” basis. We reserve the right to limit or terminate your access to the Site or any features or parts of the Site at any time. NK13 does not guarantee that access to the Site will be uninterrupted or free from disturbances; that the Site is secure; or that the Site will be virus-free; or that the information on the Site is correct, accurate, adequate, useful, timely, or complete. If you download content from this Site, you do so at your own risk. You are responsible for any damage to your computer system or data loss that results from downloading such content. No advice or information you obtain from the Site gives any guarantee whatsoever.
3.3 NK13 strictly prohibits the use of all content on this Site for other purposes, including but not limited to:

(a) downloading, copying, or other use of the content and/or Site intended to compete with NK13 or for the benefit of other vendors or third parties;
(b) unauthorized linking to the Site or taking portions and/or all parts of the content contained on the Site;
(c) modifying, distributing, disseminating, organizing, broadcasting, publishing, uploading, licensing, reverse engineering, transferring, or creating derivative works from, all content, products, or services obtained from the Site where you do not have the right to use them (such as intellectual property rights of others);
(d) uploading posts or disseminating any material that contains software viruses or computer codes, files, or programs designed to disrupt, destroy, or limit the function of any computer software or hardware;
(e) using hardware or software intended to secretly obtain information (such as system data or personal data) from the Site (including but not limited to the use of “scraping” or other data mining techniques, robots, or similar data collection and extraction tools); or
(f) any action that imposes or may impose (according to NK13’s discretion) an unreasonable or disproportionate load on NK13’s infrastructure, or could cause damage or disruption to our infrastructure’s performance.

4. Prohibitions

You must not misuse our Platform. You are strictly prohibited from using any automation system or software to extract data from our Platform for any purpose. You are prohibited from committing or supporting criminal acts, sending or distributing viruses including but not limited to Trojan horses, worms, logic bombs, ransomware, or sending any other material to the Platform that is harmful, technologically damaging, violates trust, or is offensive or harassing in any way; hacking, tampering with data; causing disruptions to other users; violating the proprietary rights of any party; sending unsolicited advertising or promotional material; or attempting to influence the performance or function of any computer facility or access to the Platform as a whole. Any violation of these provisions constitutes a criminal act under Law Number 11 of 2008 concerning Internet and Electronic Transactions (ITE), Law Number 19 of 2016 concerning Amendments to Law Number 11 of 2008 concerning Information and Electronic Transactions (ITE), and other related laws and regulations. If such a violation occurs, NK13 will report the violation to the competent law enforcement authorities and appropriate legal action will be taken.

5. Sales Requirements

5.1 Registration
(a) You must create an Account on the Platform to place an order. You represent that all information and data you provide on this NK13 site is true, accurate, current, and complete. You are responsible for updating and correcting the information you provide to this NK13 site as necessary. Any errors and consequences from filling out the information and data you provide on this NK13 site are not our responsibility. You also need to ensure that your information is up to date and inform us if there are any changes by using the features available on the Platform.
(b) You are prohibited from abusing the Platform by creating multiple user accounts.

5.2 Contract Formation
(a) The information set forth in the Terms and Conditions and the details on this Platform are not a sales offer but for the purpose of protecting NK13 consumers. The contract for the Product will only occur between you and us when we send the Product to your address.
(b) To place an Order, you will be required to follow the online shopping process on the Platform. After that, you will receive an Order Confirmation which serves as a confirmation of your Order.
(c) Orders will only be deemed received after the Order is sent to the shipping address you provided and you will receive a notification via email as a notification that the Order has been shipped. Further information regarding Order status can be found in this document.
(d) The contract only relates to the Products we send to you.

5.3 Price and Payment
NK13 makes its best efforts to ensure all details, descriptions, and prices appearing on this Platform are accurate; however, circumstances may arise where errors may occur. If we discover an error in the price of a Product you have ordered, we will inform you as soon as possible and you can choose to reconfirm your Order at the correct price or cancel your Order. If we cannot contact you, we will cancel the Order. If you have paid, you will receive a full refund according to our Refund and Return Policy.
(a) Prices listed include taxes and are in Indonesian Rupiah. Shipping costs will be charged as additional costs if applicable; such additional costs are clearly displayed and included in the ‘Final Amount’.
(b) We are not obliged to fulfill your Order if the price listed on this Platform is incorrect (even after your Order has been acknowledged by us).
(c) You can make payments using one of our registered payment partners on our Platform or by cash on delivery. You can also pay all or part of your Order price using promotional vouchers we issue from time to time.
(d) Promotional vouchers can only be entered on the online checkout page. The physical delivery of vouchers to NK13 employees cannot be accepted unless a special edition physical voucher that we may issue from time to time.
(e) To minimize the risk of unauthorized access, we encrypt your card data. Once we receive your Order, we will request pre-authorization on your card to ensure there are sufficient funds to complete the transaction. Orders will only be confirmed after this pre-authorization check is completed. Your card will be debited after we have sent the Order Confirmation. Validation and authorization checks on the card will be carried out by the card issuer. If we do not receive the necessary authorization, we are not liable for any delay or non-delivery.
(f) After payment authorization, by clicking the “Order Now” button, you inform that the card is yours or that you are the rightful holder of the promotional voucher and have sufficient funds to pay the Product fee.

5.4 Incorrect Orders
If you realize there is an error in the Order after you place it on the Platform, please contact info@naskleeng-13.com or our WhatsApp number: +62 812-3959-9613 as soon as possible. NK13 will try its best to process your request as best as we can.

5.5 Order Rejection
(a) NK13 reserves the right to remove Products from the Platform at any time and/or remove or change all materials or content on this Platform. We will do our best to always process all Orders, but there may be special circumstances where we may need to refuse to process Orders after we have sent the Order Confirmation, which we reserve the right to do at any time, at our discretion.
(b) If we cancel your Order and you have already paid for it, the payment amount will be fully refunded to you.
(c) We are not liable to you or any third party for any reason for removing a Product from this Platform, whether sold or not, removing or editing material or content on this Platform, or refusing to process or accept Orders.

6. Delivery

6.1 We aim to deliver the Product to the delivery address you specify in your Order and within the delivery time we display when you checkout (updated in the Order Confirmation).

6.2 We will try to inform you if we cannot meet the estimated delivery date, but, as far as permitted by law, we are not liable to you for any losses, liabilities, costs, damages, or expenses arising from such delay, especially if the delay is not caused by the NK13 Team.

6.3 When the Product is delivered, you may be asked to sign a proof of delivery. You can contact NK13 Customer Service at info@naskleeng-13.com or our WhatsApp number: +62 812-3959-9613 if there are errors, defects, or damage. You must be able to show the document sent with the Product, if requested.

6.4 Please note that we may not be able to deliver to certain areas. We will inform you through the contact address you provide when you place the Order and arrange for the cancellation of the Order or delivery to an alternative shipping address.

6.5 We deliver the Product in our standard packaging.

6.6 All risks in the Product will transfer to you upon delivery unless delivery is delayed due to your breach of the Contract (see 7.8 below), and in such circumstances, the risk will transfer not on the date delivery would have occurred but when you breach it. Once the risk has transferred to you, we are not liable for any loss or damage to the Product. Any breach of your obligations may affect your ability to shop at NK13 in the future.

6.7 If you are unable to take or accept delivery, we will try to contact you. Re-delivery will be done on the next business day.

6.8 If delivery or collection is delayed due to unreasonable refusal by you or you refuse delivery or collection of the Product from the courier (in the first week since the first delivery/return attempt), we may (without affecting other rights available to us) do one or both of the following:
(a) charge for any costs or expenses reasonably incurred by us; or
(b) set the Product no longer available for delivery or collection and notify you that we will cancel the applicable Contract, in which case we will refund you the payment you have made in accordance with the Contract minus administrative fees (including the costs of delivery and return attempts and any storage costs incurred as set out in clause 6.8(a) above).

7. Customer Cancellation (Non-Defective Products)

If you wish to cancel your Order, please contact NK13 Customer Service at info@naskleeng-13.com or our WhatsApp number: +62 812-3959-9613. Cancellation fees do not apply to Orders that have not been packed. Orders that have been packed cannot be canceled and goods need to be returned to us in accordance with our Return Policy or as stated by our Customer Service team (please contact the number above or see the return slip included in the received package). Payments made will be refunded. Information on our Cancellation Policy can be found in this document.

8. Return Policy and Refunds

8.1 Returns are accepted in accordance with our Refund and Exchange Policy. As long as your dissatisfaction with our product stems from our negligence as described in our Return Policy, you can return the Product to us within thirty (30) days of receipt. The Product must be unused, the product tag undamaged, and in the original brand packaging.

8.2 Products must be received by NK13 before a refund or exchange can be processed. You need to ensure that the Product we receive is in the same condition as when you received it and is well-packaged. If the goods are returned to us in an unsuitable condition, we reserve the right to reject the return and send the Product back to you. We may take any steps, including legal action, if we find that you have misused our Return or Exchange Policy.

8.3 We do not accept returns made directly.

8.4 Our Quality Check Team requires 2 (two) to 4 (four) business days after the return item is received to process your return. The time required to process the return may vary depending on the return method chosen, location, shipping date, and courier speed.

8.5 Refunds will be made immediately after we receive the goods and according to the refund method listed on your return slip. For purchase exchanges, we will refund the money via bank transfer. If you wish the funds to be done in another way, please contact our Customer Team.

9. Defective Products

9.1 All Product descriptions, information, and materials posted on this Platform are provided ‘as is’ and without warranty, either express or implied or in any form.

9.2 The images of the Products as shown in the Products may have slight differences from the actual Products you receive.

9.3 If the goods you receive are defective, please contact our Customer Service Team and provide the Order number, your name and address, product details, and the reason for the return, and whether you request a refund or replacement product.

9.4 Once the Product is returned, we will inspect it and inform you of the replacement or refund status (if any) via email as soon as possible.

9.5 NK13, at its discretion, may refuse to process a replacement or exchange Order and offer a refund in consideration of article 9.

9.6 If we do not find any defects in the returned Product or the process in article 9.3 is not followed, we have the discretion to:
(a) not replace or refund; and
(b) return the Product to you.

In such circumstances, we may ask you to pay all shipping costs and reasonable service charges according to our current standard rates and charge those costs to your credit or debit card or through other payment methods you provide when placing the Order, and to the extent permitted by law, we are not liable to you for any losses, liabilities, costs, damages, or expenses.

10. Promotional Vouchers

10.1 You can use promotional vouchers when paying for Products on the Platform. Specific details for promotional vouchers are listed below.

10.2 NK13, at its discretion, reserves the right to cancel or replace orders, request different payment methods, revoke or limit your use of the Voucher, or limit usage if the following conditions are found:
(a) if we reasonably find that the voucher code is obtained, used, or applied fraudulently, unlawfully, or has violated the Terms and Conditions or other applicable terms;
(b) if we reasonably find that the voucher code is used to facilitate payments for business or commercial purposes, including if used to resell or export Products purchased on NK13; or
(c) if we reasonably find that the use of the voucher code may harm customers, the reputation, goodwill, and business activities of NK13.

10.3 We are not responsible for any loss, theft, or invalidity of the voucher code.

10.4 The terms of use and redemption of promotional voucher codes are as follows:
(a) Promotional voucher codes are only valid for the period stated on the voucher and can only be redeemed once, and unless otherwise stipulated, cannot be used with other promotional voucher codes or for discounted items. We may exclude certain brands from promotional vouchers according to our sales strategy.
(b) You can only redeem ONE promotional voucher code for each promotional campaign (unless otherwise stipulated). NK13 reserves the right to cancel subsequent Orders you place if you use promotional voucher codes for the same promotional campaign.
(c) If the value of the Order you place is less than the value of the promotional voucher code, we will not refund or credit the remaining amount to you.
(d) Credit in the promotional voucher code does not bear interest and has no cash value.
(e) Promotional voucher codes can be entered on the checkout page.
(f) If the credit in the promotional voucher code is insufficient for your Order, you can cover the shortfall using other payment methods.
(g) For promotional voucher codes that state a specific value, if you decide to return the item, we will not refund the amount stated in the voucher code, but you can make a partial payment with your own funds, and this part will be returned to you.
(h) NK13 may apply specific terms and conditions related to promotional voucher codes. These additions will govern the terms of use and redemption of vouchers together with the terms in this article.
(i) In rare cases, NK13, at its discretion, may terminate or cancel previously issued vouchers and is not responsible for any losses arising from it.

11. Privacy Policy

11.1 You agree that the personal information we obtain about you (whether through this Site, via email, phone, or other means) will be collected, stored, and processed in accordance with the terms of our Privacy Policy. We may update the Privacy Policy from time to time at our discretion, and announce the latest version through this Site.

11.2 When you join the Platform or use our services, we may collect personal information you provide, such as your name, email address, address, and payment information. We may also collect non-personal information, such as demographic data and your preferences.

12. Intellectual Property Rights

Users are prohibited from using NK13 Trademarks for any purpose, including but not limited to using them as meta tags on other sites without written permission from NK13 or third parties who have licensed the Trademarks. You are not allowed to use framing techniques or technology to enclose any content on the Site without NK13’s written consent.

12.2 All content (including software programs) found or available on our Platform, such as text, graphics, logos, icon buttons, images, audio clips, digital downloads, campaign titles, and data compilations, are the property of NK13 or content suppliers and are protected by copyright laws and regulations worldwide. All rights are owned by NK13 and its licensors. You may store, print, and display the content provided solely for your personal use. You are not allowed to publish, manipulate, distribute, or reproduce the content or copies of the content provided to you or appearing on this Platform in any form, and you are prohibited from using the content in connection with any business or commercial purpose of any company.

12.3 Additionally, the graphics, logos, page titles, icon buttons, text, and service names included in or available through the Platform are trademarks of NK13 in Indonesia and other countries. NK13 trademarks may not be used for products or services not provided by NK13 in any manner that may cause confusion among customers, or in any manner that disparages or discredits NK13. All other trademarks not owned by NK13 appearing on this Platform are the property of their respective owners.

12.4 Our status (and the status of identified contributors) as the authors of the content on our Platform must always be acknowledged.

12.5 You may not use any part of our Platform for any commercial purpose without obtaining a license from us or our licensors. If NK13 finds any intellectual property rights infringement, we reserve the right to use the available legal remedies.

12.6 If you print, copy, or download any part of our Platform, you have violated these Terms and Conditions. Your right to use our Platform will be terminated immediately, and you must, at our discretion, return or destroy any copies of materials you have made. You are prohibited from modifying, translating, reverse engineering, decompiling, or creating anything using software and documentation provided by NK13 or its licensors.

13. Links to the Site

13.1 This Site may contain links to other sites or resources operated by third parties not affiliated with NK13. Such links are provided for your convenience and as additional access to the information contained therein. Inclusion of links to other sites should not be seen as an endorsement of the content of the linked sites or resources.

13.2 You may create a link to our homepage as long as the link is done legally and does not damage our reputation or is not for profit purposes, but you are prohibited from creating links in such a way as to suggest we have an association or endorse you in any way.

13.3 You are prohibited from creating links from any Platform that is not yours.

13.4 We are not responsible and have no liability for the content, advertisements, products, or materials contained in such links. Different terms and conditions and privacy policies may apply to the use of the linked sites or resources. NK13 is not responsible, directly or indirectly, for any damages, losses, or liabilities caused or alleged to be caused by or related to the use or reliance on any content, products, or services available on the linked sites or resources.

13.5 This Platform may not be used in conjunction with other platforms, and you are prohibited from linking any part of the Platform other than the homepage. We reserve the right to remove linking permission without prior notice.

13.6 We will do our best to comply with any relevant regulations regarding this Platform.

14. Claims of Intellectual Property Infringement

NK13 respects the intellectual property rights of others, and we ask that users do the same. By this, we inform that NK13 has adopted and implemented a policy to terminate relationships with users of the Site or members of NK13 who infringe copyrights. NK13, under certain circumstances and at its discretion, reserves the right to terminate and/or terminate the accounts and/or memberships of users who may infringe the intellectual property rights of NK13 or third parties.

15. Relinquishing Rights

You are prohibited from assigning, transferring, novating, charging, subcontracting, creating obligations, or making agreements based on these Terms and Conditions or the Contract or your rights and obligations under these Terms and Conditions or the Contract.

16. Relations

These Terms and Conditions or the Contract cannot be considered as a partnership, agency, or employer-employee relationship between you and us.

17. Third-Party Rights

Anyone who is not a party to these Terms and Conditions or in the Contract has no rights or is not entitled to receive benefits from these terms even if they rely on or refer to or agree to parts of these Terms and Conditions or the Contract.

18. Changes to the Terms of Use

From time to time, NK13 may make changes and/or updates to these Terms and Conditions. Any changes and/or updates will be displayed on the Terms and Conditions page on the Platform to be effective immediately. You acknowledge and agree that NK13 may, at its discretion, change, add, or remove parts of the Terms of Use at any time and occasion by posting the revised Terms of Use on the Site. You may not change or modify the Terms of Service under any circumstances. You are responsible for periodically checking any changes to the Terms of Use we make. By continuing to access and use our Platform, you are deemed to have accepted and agreed to the changes and/or updates to these Terms and Conditions.

19. Account Termination

We may, at our discretion and without prior notice, and without any liability to you or any third party, terminate your Account, cancel transactions related to your Account, temporarily or permanently withhold sales or return proceeds, and/or take any action we deem necessary. These measures may be implemented if we reasonably suspect that there is (a) a violation of these Terms and Conditions or other NK13 guidelines; (b) indication of unlawful acts, fraud, deception, harassment, defamation, threats, or abusive behavior; (c) creation of multiple accounts by you; (d) misuse of promotional voucher codes; (e) high or excessive cancellation rates when Orders have already been shipped; and (f) other behaviors that may harm other Customers and any third parties or any reason we find that may affect our overall business activities. This article does not preclude other legal remedies available to NK13 under applicable Indonesian laws and regulations.

20. Liability

20.1 The content displayed on this Platform is provided without warranty, condition, or guarantee for its accuracy. Except as otherwise stated and to the extent permitted by law, NK13 and its business partners, content providers, and advertisers expressly exclude all conditions, warranties, and other terms implied by statute, law, and regulations and are not liable for any damages, including but not limited to direct, indirect, special, consequential, punitive, or incidental damages, or compensation for loss of use, profits, data or other intangibles, damage to goodwill or reputation, or the cost of procuring substitute goods and services, arising out of or related to the use, inability to use, performance or failure of this Site and any materials posted on it, regardless of whether such damages were alleged or arose in contract, tort, equity, restitution, by statute, under common law or otherwise.

20.2 Nothing in these Terms and Conditions excludes or limits NK13’s liability for death or personal injury arising from negligence, misrepresentation, and misrepresentation for a fundamental matter, or other liability that cannot be excluded or limited by applicable law.

21. Limitation of Liability

NK13 is not liable for any action, error, omission, statement, warranty, and any negligence causing injury, death, property damage, or other damage, including the costs incurred. You understand and agree that you bear the risk of using the Site and that this Site is available to you at no cost. You understand and agree that, to the extent permitted by applicable law (including and not limited to consumer protection), NK13 is not liable for any damages that may occur, whether directly or indirectly related to:

(a) this Site or other Sites or sources you access through links from this Site;

(b) any actions we successfully or fail to take as a result of communications with you;

(c) any termination or cancellation of your NK13 membership;

(d) products available or purchasable through the NK13 Site, including loss or injury resulting from the use of such products, any delay or inability to use the Site or any information, products, and services promoted or obtained through this Site;

(e) modification, removal, or deletion of any materials entered or posted on the Site;

(f) use of the Site, whether based on agreement, error, legal obligation, or otherwise, even if NK13 has informed of the possibility of such damages. It is the user’s responsibility to evaluate the accuracy, completeness, or usefulness of the content available on the Site or other linked sites. This exclusion applies without limitation to damages or injuries resulting from performance failure, error, omission, interruption, deletion, defect, delay in operation or transmission, computer virus, file corruption, communication failure, loss of profit, or theft, destruction, unauthorized access, alteration, loss, or use of data, and all other losses. You acknowledge and agree that NK13 or its licensors, suppliers, or third-party content providers are not liable for defamation and illegal use of the Site.

22. Indemnification

You agree to indemnify, defend, and hold NK13 including its directors, officers, employees, consultants, agents, and affiliates from and against any and all third-party claims, liabilities, damages, and/or costs (including but not limited to legal fees) arising from your use of this Platform or your breach of these Terms and Conditions. Additionally, you agree to indemnify NK13 from and against any fines, penalties, liabilities, losses, and other claims (including attorney and expert fees), incurred by NK13, and to hold NK13 harmless against any claims arising from: (a) Your breach of the Terms of Use, (b) Fraudulent, negligent, or willful misconduct by you, and (c) Your infringement of third-party rights.

23. Warranties and Complaint Procedures

23.1 NK13 will perform its obligations under these Terms and Conditions with reasonable care and diligence.

We will try to address your issues and get back to you as soon as possible. Product warranty complaints may take longer to resolve as they may involve the role of many parties such as courier services and the Quality Control team for a complete inspection.

23.3 When submitting a complaint, it will be helpful if you can clearly and accurately describe your complaint, and if possible, also provide us with a copy of the Order or at least your Order Number as stated in the Order Confirmation. In rare cases, your email may be filtered into our spam or not received, or the correspondence we send to you may not be received by you. If you do not receive a response from us within five (5) Business Days, please contact us again.

24. Waiver

Failure or delay in exercising our rights under these Terms and Conditions or the Contract shall not be considered a waiver of such rights or an extension thereof or affect the rights and remedies related or deemed to amend or delete our rights or your rights under these Terms and Conditions or in the Contract.

25. Continuation of Terms After Termination

To the extent not inconsistent with the provisions in the Terms of Use, or general legal principles, any provision of the Terms of Use shall continue to apply to the parties as long as the NK13 site exists and is developed by PT. NYAWA KEHIDUPAN TIGABELAS.

26. Acceptance of the Entire Agreement

26.1 The entire contents of these Terms of Use constitute the agreement and understanding between you and NK13 with respect to mutual interests, and supersede all prior interim communications and offers, whether oral or written, between both parties in good faith. The printed form of these Terms of Use is legally valid and applicable in any administrative process related to the use of this Site.

26.2 These Terms and Conditions apply to your use of the Platform and all Orders and Contracts made or to be made by us for the sale and supply of Products. These Terms and Conditions constitute the entire agreement between you and NK13 and supersede any and all prior agreements between us.

26.3 You acknowledge that in this Contract, neither you nor we rely on any representation, statement, or promise made by the other party or implied from words or written statements between you and us before these Terms and Conditions take effect, except as expressly stated in these Terms and Conditions.

27. Severability

If any clause in these Terms and Conditions or the Contract becomes or is declared by a competent court to be invalid or unenforceable, legally defective, or void, such clause does not affect the terms of other clauses or sections which shall continue in full force as long as the Terms and Conditions or Contract can continue to apply without the undetermined period.

28. Termination of Agreement

(a) Termination by you: You cannot terminate this agreement. However, it is allowed to return the Product if it is in accordance with the provisions in the product return policy.
(b) Termination by NK13: NK13 reserves the right to halt the delivery process of Products en route to the customer’s address, suspend delivery to the customer, and/or terminate the agreement with the customer with written notice to the customer.

29. Dispute Resolution

(a) The Terms and Conditions and/or List of Information are interpreted and enforced based on the applicable laws and regulations of the Republic of Indonesia.
(b) If a dispute arises regarding the interpretation and/or implementation of the Terms and Conditions and/or the List of Information, the dispute will be resolved amicably through mutual agreement.
(c) If the above dispute cannot be resolved amicably, the dispute will be resolved through the Indonesian National Arbitration Board (BANI) Bali – Nusa Tenggara according to the rules and procedures at BANI.
(d) The place of arbitration is the office of the Indonesian National Arbitration Board (BANI) Bali – Nusa Tenggara, Jl. Nangka No.144, Dangin Puri Kaja, North Denpasar, Denpasar City, Bali, 80234, and using Indonesian language.

30. Applicable Law

These Terms and Conditions and Contract (and all non-contractual obligations arising out of or in connection with them) are drafted in English and Indonesian but governed and interpreted in accordance with Indonesian law. The Indonesian version will apply for all purposes and supersede any discrepancies in language. Both we and you hereby submit to the non-exclusive jurisdiction of the Indonesian Courts.
